Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by PayTok Global Limited and its group entities (collectively, "PayTok", "we", "us"). By using our services you agree to these Terms.

1. Who We Are

PayTok Global Limited is a Hong Kong-incorporated company (the "Company", "PayTok", "we", "us" or "our"). Our services are operated by the Company and delivered through our regulated group entities, including: SevenSeas (EU E-Money Institution), CBTIS (Hong Kong MSO & TCSP licensee), AISCPay (US FinCEN MSB / Canadian FINTRAC MSB), and 越智通 (Vietnam operating entity). Each product or service may be provided to you by a specific group entity depending on your jurisdiction and the nature of the service.

2. Eligibility & Onboarding

You must be at least 18 years old (or the age of legal capacity in your jurisdiction) and legally able to enter into a binding agreement. To use our services you must complete our onboarding and KYC process, including providing accurate identification, business information, and beneficial ownership details. We may decline or terminate service if information is incomplete, false, or if we are unable to verify your identity.

3. Services

PayTok provides a range of payment and financial services, which may include: cross-border payment acquiring (wallets, cards, Apple Pay, Google Pay, ACH), multi-currency accounts, VISA card issuance, fiat and stablecoin conversion, and global payout / remittance services. Specific service availability, fees, limits, and processing times are described in your service agreement, pricing schedule, and product documentation, which form part of these Terms.

4. Acceptable Use

You agree not to use our services for any unlawful purpose or in any way that may damage, disable, overburden or impair our infrastructure. Prohibited activities include, but are not limited to: money laundering, terrorist financing, sanctions evasion, fraud, unauthorized trading of regulated products, distribution of illegal goods or services, and any activity that violates applicable anti-money-laundering, sanctions, or financial-crime laws.

5. Fees & FX

Service fees are as set out in your pricing schedule or product pages. Where you transact in a currency other than the funding source, PayTok applies an FX rate that reflects mid-market pricing plus a transparent spread disclosed at the point of transaction. Additional fees may apply for special services, expedited processing, or third-party charges.

6. Funds Handling & Safeguarding

Customer funds are safeguarded in accordance with applicable law. For services provided by our EU EMI, client funds are safeguarded under PSD2. For services provided by our Hong Kong MSO, funds are handled in accordance with the Anti-Money Laundering and Counter-Terrorist Financing Ordinance. We do not use customer funds for proprietary purposes.

7. Suspension & Termination

We may suspend or terminate your access to the services at any time, with or without notice, where we reasonably believe: (a) you have breached these Terms; (b) your activity poses a risk to PayTok, our customers, or third parties; (c) we are required to do so by law, regulation, or a competent authority; or (d) you have been inactive for an extended period.

8. Intellectual Property

All intellectual property in the services, including the PayTok name, logos, software, and documentation, is owned by PayTok or our licensors. You may not copy, modify, distribute, or create derivative works without our prior written consent.

9. Disclaimers & Limitation of Liability

The services are provided "as is" and "as available". To the maximum extent permitted by law, PayTok disclaims all warranties, express or implied. PayTok's aggregate liability for any claim arising out of or relating to the services shall not exceed the fees paid by you to PayTok for the specific service giving rise to the claim in the twelve (12) months preceding the event. PayTok shall not be liable for indirect, incidental, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold PayTok, its affiliates, officers, directors, and employees harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your use of the services, or your violation of any law or third-party right.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the services shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR, except where local mandatory law provides otherwise. Nothing in this clause limits your right to bring proceedings before a competent court in your country of residence.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects when changes were made. Material changes will be communicated to you by email or through the services. Continued use of the services after changes take effect constitutes acceptance of the revised Terms.
